These Terms & Conditions (“Terms”) govern your access to and use of the ICONMA Learning Management System, online courses, assessments, certifications, websites, applications, and related learning services collectively referred to as the “LMS” or “Services”.
The Services are provided by ICONMA, LLC, doing business as ICONMA (“ICONMA”, “we”, “us”, or “our”).
By accessing, registering for, purchasing, or using the LMS and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree with these Terms, you must not access or use the LMS or Services.
You may use the LMS only if you are legally permitted to enter into a binding agreement and are authorized by ICONMA, your employer, your organization, or another approved account administrator.
If you are under the age of 18, you may use the LMS only with appropriate authorization and supervision from a parent, legal guardian, educational institution, employer, or other organization permitted by applicable law.
You may use the LMS only for lawful learning, training, assessment, certification, professional development, compliance, or other authorized purposes.
Certain features require you to create or receive a user account. You agree to provide accurate, complete, and current information and to keep your account information updated.

You must not share, sell, transfer, assign, or permit another person to use your account unless ICONMA expressly authorizes it.
ICONMA may suspend or disable an account where we reasonably believe it has been misused, compromised, shared without authorization, or used in violation of these Terms.
Course access may be provided through direct enrollment, purchase, invitation, assignment by an employer or organization, promotional access, subscription, or another approved method.

ICONMA does not guarantee that every course or feature will remain available indefinitely. We may update, replace, suspend, or discontinue courses or features where reasonably necessary.
Subject to these Terms, ICONMA grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the LMS and authorized course materials for your own learning or approved organizational purposes.
This license does not transfer ownership of the LMS, course materials, software, content, trademarks, or intellectual property to you.
You may not copy, reproduce, republish, distribute, sell, license, modify, translate, reverse engineer, publicly display, publicly perform, or create derivative works from the LMS or course materials unless expressly authorized in writing.
Course content may include text, documents, videos, audio, presentations, graphics, exercises, assignments, quizzes, assessments, downloadable files, and other learning materials.
Course content is provided for educational and informational purposes. It should not be treated as legal, financial, medical, tax, professional, or other specialized advice unless expressly stated.
ICONMA may revise course content to improve accuracy, quality, relevance, accessibility, security, or compliance.
We do not guarantee that all course content will be free from errors, omissions, or outdated information. Learners should independently verify information where professional or business decisions depend on it.
Some courses may include quizzes, assignments, assessments, examinations, practical exercises, or certification requirements.
You agree to complete assessments honestly and without unauthorized assistance, impersonation, answer sharing, automation, cheating, or misuse of course materials.
ICONMA may invalidate results, revoke certificates, require reassessment, or suspend access where there is evidence of cheating, impersonation, manipulation, or other misconduct.
A course certificate confirms completion or achievement within the LMS. It does not guarantee employment, promotion, licensing, professional recognition, regulatory approval, or acceptance by any third party.
Where courses or Services require payment, you agree to pay all applicable fees, charges, and taxes displayed at the time of purchase.
Prices, discounts, coupons, subscription fees, and promotional offers may change at any time, but changes will not normally affect a completed purchase unless required by law.
You must provide valid and accurate billing information. Payments may be processed by third-party payment providers, and your use of those payment services may also be governed by their terms and privacy policies.
ICONMA is not responsible for payment failures caused by incorrect billing details, insufficient funds, bank restrictions, payment provider outages, or other matters outside our reasonable control.
Refund eligibility, cancellation periods, subscription cancellation rules, and other payment-related conditions will be governed by the refund policy displayed at the time of purchase or otherwise communicated by ICONMA.
Unless required by applicable law or an applicable refund policy, completed purchases may be non-refundable after course access has been used, content has been downloaded, a substantial portion of a course has been completed, or a certificate has been issued.
Promotional, complimentary, employer-sponsored, or organization-sponsored access may not have a cash refund value.
You agree to use the LMS responsibly and respectfully.

ICONMA may remove content, restrict features, suspend accounts, terminate access, or take other appropriate action where these requirements are violated.
You may be permitted to submit assignments, comments, feedback, discussion posts, files, questions, reviews, profile information, or other content through the LMS.
You retain ownership of content that you lawfully submit. By submitting content, you grant ICONMA a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process that content only as reasonably necessary to operate, administer, support, improve, and secure the LMS and Services.
You represent that:
ICONMA may remove user-submitted content that violates these Terms, applicable law, organizational policies, or the rights of others.
The LMS, software, course materials, branding, logos, graphics, videos, documents, designs, databases, and other content are owned by or licensed to ICONMA and are protected by intellectual property and other applicable laws.
The ICONMA name, logo, and related marks may not be used without prior written permission.
Nothing in these Terms grants you ownership of or unrestricted rights to any ICONMA or third-party intellectual property.
If you believe that content available through the LMS infringes your copyright or other intellectual property rights, contact ICONMA with sufficient information to identify the content, explain your rights, and locate the allegedly infringing material.
ICONMA may investigate the complaint and remove or restrict access to content where appropriate.
The LMS may include links to or integrations with third-party websites, video platforms, payment providers, communication tools, document services, artificial intelligence services, or other external resources.
Third-party services are not controlled by ICONMA and may be governed by separate terms and privacy policies.
ICONMA is not responsible for the availability, security, accuracy, content, or practices of third-party services.
The LMS may include artificial intelligence or automated features for course recommendations, content generation, question generation, search, summaries, assessments, learning assistance, or analytics.
AI-generated content may contain errors, incomplete information, or unsuitable recommendations and should be reviewed before use.
You must not submit confidential, proprietary, sensitive, regulated, or unnecessary Personal Information into AI-enabled features unless specifically authorized.
You must not use AI-enabled features to cheat, impersonate another person, bypass assessments, violate intellectual property rights, or conduct unlawful activities.
Your use of the LMS is also governed by the ICONMA Privacy Policy, which explains how we collect, use, protect, retain, and disclose Personal Information.
By using the LMS, you acknowledge that information may be processed as described in the Privacy Policy.
ICONMA aims to keep the LMS available and operational. However, access may be interrupted due to maintenance, upgrades, security events, technical problems, internet failures, third-party service issues, or circumstances beyond our reasonable control.
We do not guarantee uninterrupted, error-free, or continuously available access.
Scheduled or emergency maintenance may temporarily restrict access to courses, assessments, certificates, or account features.
ICONMA may suspend, restrict, or terminate your access where:
Upon termination, your right to access and use the LMS ends immediately, except where access to certain records is required by law or separately authorized.
Provisions relating to intellectual property, disclaimers, liability, indemnity, disputes, and other terms that reasonably should continue will survive termination.
To the maximum extent permitted by applicable law, the LMS and Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, ICONMA and its affiliates, officers, employees, instructors, licensors, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of or inability to use the LMS.
This may include loss of data, revenue, profits, business opportunity, goodwill, course progress, or certification opportunities.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ICONMA and its affiliates, officers, employees, contractors, instructors, licensors, and service providers from claims, damages, losses, liabilities, and expenses arising from:
These Terms will be governed by the laws applicable to ICONMA, subject to any mandatory rights or protections available to you under applicable law.
Before starting formal legal proceedings, you and ICONMA agree to make reasonable efforts to resolve disputes through good-faith communication.
The appropriate jurisdiction, venue, arbitration requirement, or other dispute resolution process may be stated in a separate agreement between ICONMA and your employer, organization, client, or purchasing entity.
ICONMA may update these Terms to reflect changes in the LMS, Services, business practices, security requirements, or applicable legal obligations.
When changes are made, we will update the “Last Updated” date and may provide notice through the LMS, email, website announcement, or another appropriate communication method.
Your continued use of the LMS after updated Terms become effective constitutes your acceptance of the updated Terms, except where additional consent is required by law.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
ICONMA’s failure to enforce a provision does not waive its right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without ICONMA’s prior written consent.
These Terms, together with the Privacy Policy and any applicable purchase, subscription, employment, client, or organizational agreement, constitute the agreement governing your use of the LMS.
